Halka açık şirketlerin esas sözleşmelerinin kurumsal yönetim ilkelerine uygunluğunun incelenmesi: İMKB 50 örneği

Abstract

Esas sözleşme şirketlerin kurulmasından sona ermesine kadar tüm faaliyetlerin yerine getirilmesinde dayanak oluşturan düzenlemeleri içermektedir. Şirket faaliyetlerinin yerine getirilmesinde menfaat sahipleri için bir anayasa niteliğindedir. Esas sözleşmenin içeriğinin oluşturulmasında ilgili mevzuatla beraber kurumsal yönetim ilkeleri de etkili olmaktadır. Kurumsal yönetim ilkelerine uygun esas sözleşmeler şirketlerin daha şeffaf, eşitlikçi, sorumlu ve hesap verebilir bir yönetim anlayışıyla yönetilmesine olanak sağlar. Bu çalışmada, kurumsal yönetim ilkeleri içerisinde “….. esas sözleşmede yer alır/bulunur/ konmalıdır/düzenlenir” ibaresi ile açıkça ifade edilen ilkelerin, İMKB. 50 endeksinde yer alan şirketlerin esas sözleşmelerinde bulunup bulunmadığı araştırılmıştır. Araştırma sonuçları yorumlanarak mevcut durum değerlendirilmiştir.

Articles of association include all arrangements that form the basis for all activities of a corporation from it's founding to termination. It is in essence the corporation's constitution for the stakeholders in corporation's activities. In drafting of the articles of association principles of corporate governance are effective together with pertinent legislation. Articles of association which conform to principles of corporate governance facilitates implementation of a more; transparent, equitable, responsible and accountable style of management. This study examines articles of association of ISE. 50 firms to determine the existence of corporate governance principles that are clearly stated with terms like ... takes place in/exists/should be included/is arranged for, in articles of association”. The results of the study are interpreted to evaluate the current state of conformity.
